Terms & Conditions

Last Updated: May 2026. These terms govern your participation in the EngagePro program by CBuddy Private Limited.

1. Introduction

Welcome to EngagePro, a premium AdTech platform powered by CBuddy Private Limited ("the Company", "we", "us", or "our"). These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "Creator", or "Advertiser") and CBuddy Private Limited, governing your access to and use of the EngagePro platform and its integrated services within the Bluenath Creator OS.

By clicking "Accept" or by accessing the EngagePro dashboard, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease all use of the platform.

2. Platform Nature

EngagePro acts as an intermediary marketplace under Section 2(1)(w) of the Information Technology Act, 2000. Our primary role is to connect Brands ("Advertisers") with Content Creators ("Creators") for marketing collaborations.

Independent Contractors

Creators are independent contractors. Nothing in this agreement creates an employer-employee relationship, partnership, or joint venture.

Service Fee

The Platform charges a service fee of 17.5% (15% platform fee + 2.5% payment gateway charges) on all transactions.

3. User Accounts & KYC

To participate in the EngagePro program, Creators must complete a mandatory Know Your Customer (KYC) process in accordance with the Prevention of Money Laundering Act, 2002 (PMLA).

  • Mandatory PAN Number validation (Section 139A Income Tax Act).
  • Verified Bank Account and IFSC details for payouts.
  • GSTIN details (if applicable) for tax invoicing.
  • Verification of social media account ownership via OAuth.
Note: Payouts will be held in escrow until KYC documentation is fully approved by our compliance team.

4. Campaign & Ad Delivery

Creator Obligations

Creators must adhere to the Campaign Brief and Delivery Timeline agreed upon at the start of the collaboration. Failure to deliver on time may result in penalties or account suspension.

Ad Submission

Creators must submit the live ad link via the EngagePro dashboard for verification.

Dispute Window

Advertisers have 72 hours to review and approve or dispute the submitted ad.

5. Financial Terms & Payouts

All monetary values on the platform are handled in Indian Rupees (INR) and calculated in Paise to ensure 100% mathematical accuracy.

Payout Calculations:

  • Gross AmountCreator Rate Card
  • Platform Fee (15% + 2.5%)- 17.5%
  • TDS (Section 194R)- 10% (if applicable)
  • Net Creator PayoutAmount Transferred

TDS Certificate (Form 16A) will be issued quarterly for all deductions made under Section 194R.

6. Intellectual Property

Creator Ownership: The Creator retains full copyright ownership of the original content created during the campaign.

Advertiser License: By accepting a campaign and receiving payment, the Creator grants the Brand (Advertiser) a non-exclusive, royalty-free, worldwide license to use, repost, and distribute the content for promotional purposes for a period of 12 months from the date of publication.

7. Regulatory Compliance

All advertisements run via EngagePro must comply with the Advertising Standards Council of India (ASCI) Code for Self-Regulation.

Mandatory Disclosures

Creators MUST use clear disclosures such as #ad, #sponsored, or #partnership in all sponsored content. Failure to do so will result in immediate termination of the collaboration and potential platform ban.

8. Dispute Resolution & Governing Law

Disputes are resolved via internal arbitration by the EngagePro Review Team. If a dispute remains unresolved, it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.

This agreement is governed by the laws of India. The courts of New Delhi shall have exclusive jurisdiction over any disputes arising from these Terms.
